Huginn Systems provides social media and content creation services tailored to client needs. Specific deliverables, timelines, pricing, and terms may be outlined in a separate written agreement, proposal, or statement of work ("SOW"). In the event of a conflict, the SOW shall govern.

We do not guarantee specific results, including but not limited to follower growth, engagement metrics, revenue, or platform performance.

3. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information required for service delivery

  • Ensure you own or have rights to any content, logos, trademarks, or materials you provide

  • Comply with all applicable laws, regulations, and third-party platform terms

  • Maintain the confidentiality of any account credentials you share with us

You are solely responsible for the legality of your business and the content published on your social media accounts.

4. Payments and Fees

Fees for Services will be outlined in a proposal, invoice, or SOW. Unless otherwise stated:

  • Payments are due in advance

  • All fees are non-refundable

  • Late payments may result in suspension or termination of Services

You authorize Huginn Systems to invoice you electronically.

5. Intellectual Property

a. Our Intellectual Property

All materials, processes, templates, strategies, and content created by Huginn Systems prior to or outside the scope of your engagement remain our intellectual property.

b. Client Content

You retain ownership of your pre-existing content. By engaging our Services, you grant us a limited, non-exclusive license to use, modify, and publish content solely for the purpose of providing the Services.

c. Final Deliverables

Unless otherwise agreed in writing, upon full payment, you receive a non-exclusive license to use final content created specifically for you.

6. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information disclosed during the course of the engagement, unless disclosure is required by law.

7. Third-Party Platforms

Huginn Systems is not affiliated with, endorsed by, or responsible for third-party platforms (including social media networks). Platform outages, policy changes, account suspensions, or content removals are outside our control.

8. Disclaimers

The website and Services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Huginn Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from or related to your use of the website or Services.

Our total liability for any claim shall not exceed the amount paid by you to Huginn Systems in the three (3) months preceding the claim.

You agree to indemnify and hold harmless Huginn Systems from any claims, damages, liabilities, losses, or expenses arising out of:

  • Your use of the Services

  • Content you provide or approve

  • Violation of these Terms or applicable laws

11. Termination

Either party may terminate Services in accordance with the terms outlined in a proposal or SOW. We reserve the right to suspend or terminate access to the website or Services for violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the state in which Huginn Systems is registered, without regard to conflict of law principles.

13. Changes to These Terms

We may update these Terms at any time. Updates will be posted on this page with a revised "Last updated" date. Continued use of the website or Services constitutes acceptance of the updated Terms.
